Terms of Service

These Terms of Service govern access to and purchases from the Defiance International storefront. Placing an order constitutes acceptance of the Terms version active at the time of purchase. Signed-in members may additionally record acceptance in their account portal. Each version of these Terms is numbered and retained; the version governing a given sale is the version active when the order was placed.

1. Eligibility and age

By placing an order you affirm that you are at least 18 years of age, that you have the legal capacity to enter into a binding agreement, and that you are acquiring materials for lawful laboratory research. Orders may not be placed by or on behalf of any person below this age. The platform may refuse or cancel any order where these affirmations appear untrue.

2. Research use only

Defiance International offers high-purity chemical sequences strictly for in vitro laboratory research use (RUO). Materials are not intended for human or veterinary administration, diagnosis, treatment, mitigation, or prevention of disease, nor for use as a food, food additive, dietary supplement, cosmetic, or medical device. By placing an order you affirm that you are acquiring materials strictly for laboratory research, will handle every chemical sequence under appropriate controls, and will not administer any material to humans or animals.

3. No medical or efficacy claims

Information made available through the storefront, including certificates of analysis, educational content, and product descriptions, is not medical advice and makes no medical, therapeutic, diagnostic, dosing, efficacy, or safety claim about any material.

4. Buyer responsibilities

You are solely responsible for: confirming that purchase, possession, handling, and use of each material is lawful in your jurisdiction before ordering; obtaining any license, permit, or institutional approval your work requires; safe handling, storage, labeling, and disposal of materials under controls appropriate to laboratory chemicals; and restricting access to materials to persons qualified to handle them.

5. Prohibited uses

You agree not to: administer any material to a human or animal, or supply any material to another party for administration; resell, relabel, or repackage materials in a manner that misrepresents their research-use-only character; export or re-export materials in violation of applicable export-control or sanctions law, or supply them to any sanctioned or restricted party; use the storefront or materials in connection with any unlawful activity; or misrepresent your identity, age, or eligibility when ordering.

6. Accounts

An account is not required to purchase. If you create one, you are responsible for the accuracy of your information and the security of your credentials, and for all activity under your account. The platform may suspend or terminate an account used in violation of these Terms and may refuse service where these Terms are violated.

7. Orders

Your order is an offer to purchase. The platform may decline or cancel an order before shipment, including for suspected ineligibility, unlawful destination, pricing or listing error, or inability to verify order information. Listed availability and pricing may change until an order is placed; a manifest pricing error may be corrected and any affected unshipped order cancelled.

8. Pricing and payment

Prices are stated at checkout. Payments are handled by external payment service providers; the platform does not store full payment credentials. You represent that you are authorized to use the payment method you provide.

9. Final sale; no returns

All sales are final. The platform does not offer returns, refunds, credits, exchanges, replacements, or gift cards.

10. Shipping, title, and risk

Carrier tracking records hand-off evidence when available; it is not a delivery guarantee. Title and risk of loss pass to you upon the carrier's acceptance of the shipment. For international orders you are the importer of record and are responsible for duties, taxes, and compliance with import law; a shipment refused, seized, or destroyed by a carrier or authority creates no return, refund, or replacement right.

11. Certificates of analysis and verification

Certificates of analysis document analytical results for a specific production lot and may be verified through the platform's lot-verification flow. A certificate is evidence about the tested lot only; it is not a warranty of fitness for any purpose and makes no claim about biological effect.

12. Safety recalls

If a safety recall is initiated, the platform may coordinate internal custody and safety handling for affected materials, and you agree to cooperate with recall instructions, including quarantine or return of affected material for safety purposes. A recall does not create a monetary remedy, return right, refund, credit, exchange, or replacement right.

13. Intellectual property and site use

Storefront content, including text, imagery, instruments, and educational materials, belongs to the platform or its licensors. You may use the site for lawful browsing, research evaluation, and purchasing; you may not scrape at scale, republish content as your own, or interfere with the site's operation or security controls.

14. Privacy and communications

The Privacy Policy, available on the storefront, describes what the platform collects and how it is handled, and forms part of these Terms. Transactional messages about your orders are sent as part of the service; marketing messages are sent only with consent and every one carries an unsubscribe mechanism.

15. Disclaimer of warranties

Except as expressly stated in a lot's certificate of analysis with respect to the analytical results it reports, materials and the storefront are provided as is and as available, and the platform disclaims all other warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law.

16. Limitation of liability

To the maximum extent permitted by law, the platform's total aggregate liability arising out of or relating to any order or these Terms is limited to the amount you paid for the order giving rise to the claim, and the platform is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or research value. Nothing in these Terms limits liability that cannot lawfully be limited.

17. Indemnification

You agree to indemnify and hold harmless the platform and its personnel from claims, losses, and expenses, including reasonable attorneys' fees, arising from your breach of these Terms, your violation of law, or any use, handling, administration, or distribution of materials contrary to their research-use-only character.

18. Changes to these Terms

The platform may publish revised Terms as a new numbered version. The version active when you place an order governs that order. Continued use of the storefront after a new version becomes active constitutes acceptance of the new version.

19. General

If any provision of these Terms is held unenforceable, the remainder stays in effect. A failure to enforce a provision is not a waiver. You may not assign your rights under these Terms; the platform may assign in connection with a reorganization or transfer of the business. Neither party is liable for delay or failure caused by events beyond reasonable control. These Terms, together with the Privacy Policy and the posted store policies, are the entire agreement regarding purchases from the storefront.
